1. Introduction

Welcome to Essinara. These Terms & Conditions govern your use of our website and services. By engaging our services, you agree to these terms.

About Us: Essinara Digital Concepts is a digital innovation company based in Warri, Delta State, Nigeria, offering web design, graphic design, video animation, and digital marketing services globally.

2. Services — Phase One

We currently offer the following services (Phase One):

• Web Design & Development Phase One — Responsive, fast, and functional digital platforms
• Graphic Design / Branding Phase One — Visual identity, logos, flyers, brand kits
• Video Animation / Editing Phase One — Explainer videos, animated ads, promotional content
• Digital Marketing Phase One — Social media, SEO, content creation, ad campaigns

Note: Additional services will be added in future phases as we expand our capabilities.

3. Service Delivery

3.1 Timeline

We provide estimated project timelines based on the scope of work. Timelines are estimates and may be adjusted due to:

• Changes in project scope
• Delays in client feedback or content delivery
• Unforeseen technical challenges

3.2 Client Responsibilities

You agree to:

• Provide all necessary content, materials, and feedback in a timely manner
• Respond to our communications within 48 hours to avoid project delays
• Provide access to any platforms or accounts needed for service delivery
• Ensure all content you provide is legally owned or properly licensed

3.3 Revision Policy

• Web Design: Up to 3 revision rounds on design mockups, 1 revision round on development
• Graphic Design: Up to 3 revision rounds
• Video Animation: Up to 2 revision rounds
• Digital Marketing: Strategy and campaign reviews included as per agreement
• Additional revisions beyond the included rounds will be charged at our standard hourly rate

4. Payment Terms

4.1 Pricing

All prices are quoted in Nigerian Naira (₦) unless otherwise agreed. International clients may be invoiced in USD or their local currency.

4.2 Payment Structure

We require:

• 50% deposit before project commencement
• 50% balance upon project completion before final deliverables are released

For larger projects (above ₦1,000,000 or equivalent), milestone-based payments may be arranged.

4.3 Payment Methods

We accept multiple payment options to serve our global clients:

• Paystack — For clients in Nigeria
• Flutterwave — For international clients across Africa and beyond
• PayPal — For global clients
• Stripe — For global clients
• Bank transfers — Local and international

All transactions are secure and encrypted.

4.4 Late Payment

Payment not received within 7 days of the due date may result in:

• Suspension of project work
• Late fees of 5% per month on overdue amounts
• Potential termination of the project

5. Intellectual Property

5.1 Final Deliverables

Upon full payment, you own the final deliverables we create for you:

• Website files and code
• Design files (logo, branding, graphics)
• Video files
• Marketing content

5.2 Essinara Rights

We retain the right to:

• Display the work in our portfolio and marketing materials (with your consent)
• Use any open-source code or libraries included in the project
• Keep concept designs and unused ideas for future reference

5.3 Third-Party Materials

Any third-party materials, assets, or software used in your project are subject to their respective licenses and terms.

6. Confidentiality

We agree to keep your business information, project details, and any proprietary information confidential. We will not share your information with third parties except:

• As necessary to provide the services (e.g., subcontractors, hosting providers)
• As required by law
• With your explicit consent

7. Data Security

8. Cancellation & Refund

8.1 Cancellation by You

You may cancel the project at any time by providing written notice.

• Before work begins: Full refund of deposit
• After work has begun: Refund minus cost of work completed
• After 50% of project completion: No refund (work delivered as-is)

8.2 Cancellation by Us

We reserve the right to cancel a project if:

• Payment is overdue by more than 14 days
• You fail to provide necessary content or feedback for more than 30 days
• We are unable to fulfill the scope due to technical or legal reasons

8.3 Refund Processing

Any approved refunds will be processed within 10 business days via the original payment method.

9. Limitation of Liability

9.1 Disclaimer

Our services are provided "as is." While we strive for excellence and maintain high security standards, we cannot guarantee:

• That our services will be error-free or uninterrupted
• Specific results or outcomes (e.g., SEO rankings, sales increases)
• That the website will be immune to hacking or technical issues beyond our control

9.2 Liability Cap

To the fullest extent permitted by law, our liability is limited to the total amount paid by you for the services in question.

9.3 No Consequential Damages

We are not liable for any indirect, incidental, or consequential damages, including loss of profits, data, or business opportunities.

10. Warranties

You warrant that:

• You own or have the right to use all content you provide
• Your content does not infringe on third-party rights

We warrant that:

• The services will be performed with reasonable skill and care

11. International Clients

• We accept payments in Naira, USD, or local currency
• Project timelines account for time zone differences
• Communication will be conducted via email and scheduled calls
• All terms apply equally to international clients

We may update these Terms & Conditions periodically as our business evolves. Changes will be posted on this page with an updated date. Continued use of our services constitutes acceptance of the updated terms.

13. Severability

If any provision of these terms is found to be unenforceable, the remaining provisions shall remain in full force and effect.

14. Entire Agreement

These Terms & Conditions constitute the entire agreement between you and Essinara Digital Concepts regarding our services.
